Pricing

1. Prices are subject to change without notice. All orders will be billed at quoted prices in effect at the time of delivery.
2. When quantity price discounts are quoted by CUETECH, such discounts are computed separately for each type of product to be sold and are based upon the quantity of each type and each size ordered at any one time for immediate delivery. If any order is reduced or canceled by Buyer with CUETECH’s consent, it is agreed that prices will be adjusted upward to the higher prices, if applicable, for the uncanceled quantity.

Taxes

1. Unless otherwise specified in the quotation, the prices shown do not include any taxes, import or export duties, tariffs or custom charges. Buyer agrees to pay CUETECH the amount of any federal, state, county, municipal, or other taxes, duties, tariffs or custom charges levied by any jurisdiction foreign or domestic which CUE maybe required to pay on account of ownership at the place of installation or during transit of the material or equipment which is the subject of this contract, or on account of the transportation , sale, or use of said material or equipment.

Payment Terms

1. Buyer agrees to make payment in full to CUETECH for all amounts due according to CUETECH invoice(s).  Buyer also agrees to pay CUETECH, as interest, an amount equal to 1 ½% per month, or the maximum provided by law (whichever is less) for invoice amounts that are past due.
2. There is a $25 fee for each returned check.
3. Should Buyer default in any such payment(s), CUETECH shall have the right, without notice to Buyer, to declare all invoice amounts due and payable.  In the event CUETECH should commence any action or actions, or otherwise seek to enforce this agreement against Buyer, Buyer agrees to pay reasonable attorney(s) fees, court costs and other expenses incurred by CUETECH, whether or not suit is filed.
4. This agreement is strictly confidential and is not transferable or assignable without prior written consent of CUETECH.  Customer agrees that any change in liability for any debts incurred to CUE due to a change in Buyer’s form of business, shall not be effective as to CUETECH, until CUETECH receives actual notice of the change by certified mail.
5. Venue shall be in Orange County, CA, as determined by CUETECH. 

Shipment

1. All shipments will be made F.O.B. shipping point unless otherwise stated with CUETECH’s written approval.
2. In the absence of specific written instructions, CUETECH will select carrier.
3. Title to the material shall pass to the Buyer upon delivery thereof by CUETECH to the carrier or delivery service. Thereupon the Buyer will be responsible therefore. Products held for Buyer, or stored for Buyer, shall be at the risk and expense of the Buyer.
4. Claims for loss or damage in shipment must be made to the carrier by the Buyer.
5. In the event of shipping discrepancies and/or receipt of defective/damaged products, Buyer shall notify CUETECH within three (3) business days of receipt of such products. Failure to notify CUETECH within such time shall be deemed an acceptance of the products of the date of shipment.

Delivery

1. Shipping dates are approximate. If conditions arise which prevent compliance with delivery schedules, CUETECH shall not be liable for any damage or penalty for delay in delivery, or for failure to give notice of delay, and such delay shall not constitute grounds for cancellation.
2. Without limiting the generality of the foregoing, CUETECH shall not be liable for delay by reason of inability, due to causes beyond its reasonable control, to obtain the necessary labor, materials or manufacturing facilities, or for delay due to the elements, acts of God, acts of the Buyer, acts of non-performance of suppliers, act of civil or military authorities, priorities, fires, floods, epidemics, quarantine restrictions, war, riots, strikes, differences with workmen, accidents to machinery, delays in transportation or any other causes beyond the control of CUETECH whether or not similar to the foregoing. In such event, delivery date shall be deemed extended  for a period equal to such delay.

Refurbished Products

1. Refurbished products may have cosmetic blemishes.
2. Contents of refurbished products package may vary from contents listing on the box.
   Some refurbished products have limited manufacturer warranty. CUETECH does not provide extended warranty on refurbished products.

Return Policy

1. Merchandise to be returned must have CUETECH’s Return Authorization Number (RMA).
2. All returns are subject to a 25% restocking fee plus shipping, unless the products were shipped incorrectly and/or received defective/damaged.
3. RMA number is good for seven (7) days only. Buyer must allow for in-transit time for products to be returned to CUETECH, as CUETECH must physically receive the products within the seven (7) calendar days.
4. No cash refund for all items returned after fourteen (14) days from the date of the invoice. Refund cannot be greater than the item’s original sales price.
5. SHIPPING CHARGES ARE NOT REFUNDABLE!
6. Any opened software will not be accepted under any circumstances.
7. CUETECH will not accept products for return that have been physically damaged, burned, abused, misused, neglected, repaired or modified.
8. CUETECH DOES NOT GUARANTEE ANY PRODUCT COMPATIBILITY.
9. CUETECH takes no responsibility for the installation of the products and incorrect operation of your system. CUETECH will not be liable for any system, component, or peripheral including, but not limited to, mechanical or electronic damage, lost time, lost wage, lost revenue, or any other damage arising out of the use of , or inability to use CUETECH’s products.
10. Buyer should always provide a detailed and specific description of the problem with the product or the reason for return.
11. If the product being returned is claim to be defective, but is found by CUETECH not to be defective, Buyer will be charged a 25% testing fee, and the product will be shipped back at the Buyer’s expense.
12. CUETECH reserves the right to make a decision based on test results, whether to send a replacement, repair the product, or process a refund.
13. All accessories must be shipped with the returned item.  Items returned without the accessories will be rejected and returned to the Buyer at the Buyer's expense.
